scope of application

The General Terms and Conditions of the company Matrix-Systems GmbH apply to all legal relations between the parties subject to written agreements. They shall apply to all deliveries of Matrix-Systems GmbH to the Purchaser; Including future deliveries, unless otherwise agreed in individual cases.

Audit of rental and purchase items

Objects of the rent and purchase are the materials listed in the delivery note together with accessories and small material. The lessee or buyer has to inspect the goods at the time of handover and to make a claim immediately, otherwise the material is deemed to be faultless.

Use of rented items

The rented property may only be used by the tenant through suitable and capable operators for the intended use and with due diligence. Defects which occur may only be remedied by Matrix-Systems GmbH itself or by a designated person.

Return of rented items

The rented items must be returned at the agreed time and at the agreed place. The lessee is liable for late return for each day of the day, according to the day rates agreed for the rental without proof of damage by Matrix-Systems GmbH. The right to assert further damage is reserved.

Liability of the tenant

The hirer is liable for any damage and any shortage of the rented item, which was not displayed when the order was accepted. He is also liable for the loss or loss of the rented property. In these cases, the tenant owes Matrix-Systems GmbH, in addition to the full replacement or re-production value, the further damage that is caused by Matrix-Systems GmbH. In case of early return the tenant is not entitled to a partial refund of the rental costs.

Ownership of purchased goods

The goods delivered by us remain the property of Matrix-Systems GmbH until full payment of the purchase price. The buyer is not entitled to pledge the goods or to surrender them to third parties.

Insurance of rental equipment

It is the renter's responsibility to insure the materials and accessories against all risks at their own expense.

Prices

The prices of Matrix-Systems GmbH are exclusive VAT, postage and packaging. In the case of deliveries by post or other delivery services, Matrix-Systems GmbH charges the effective postage or freight costs.

The delivery or production conditions are always purely informative or indicative and can never be grounds for the cancellation of the order or for damages. In case of complaints to the delivery itself, the buyer can only contact the freight forwarder. Any return of goods is subject to our written approval, which must be obtained in advance.

 

 

 

 

Delivery times and execution periods are only binding if they have been expressly confirmed by Matrix-Systems GmbH as binding. Transfer of risks The benefit and risk of the goods shall pass to the customer upon conclusion of the contract as soon as the goods have been delivered by Matrix-Systems GmbH for dispatch. With the timely and proper dispatch of the matter, Matrix-Systems GmbH has fulfilled your duty.

Printed products

Sketches, drafts, proofs, samples and similar preparatory work on the order of the customer are calculated. The risk of possible errors will be transferred to the customer upon approval by the customer if the defect has not been caused by technical defects in the production (signing of the "good for printing").

Guarantees

Unless otherwise stipulated, the provisions of the Swiss Code of Obligations apply. On hardware (hardware) we grant a guarantee of 2 years and on graphic products 1 year. Excluded from this are damage caused by improper handling of the hardware and graphics products.

Drawings, documents, copyrights

We reserve the right to property and copyrights to offers, drawings, presentations and other documents. They may not be made accessible to third parties without our consent. The customer accepts liability for the fact that we do not violate the rights of third parties (in particular property rights, copyrights and copying rights) with the execution of the order.

 

Applicable law, place of performance and jurisdiction

The place of dispatch shall be the place of performance for the delivery. For all disputes and legal claims resulting from this agreement, only the ordinary courts at the registered office of Matrix-Systems GmbH shall be held. Swiss law is applicable.
